Board Resolutions

We frequently translate board resolutions, and there is a spot-on verb we can use when translating a board resolution: to resolve.

Let’s NOT translate “yönetim kurulu aşağıdaki kararları almıştır” as “board of directors passed the following resolutions” but as “board of directors has resolved to” or “resolved that” followed by a bulleted list or a numbered list of individual resolutions. Here is an example:

The undersigned, being all the shareholders of [Company name], hereby sign the following annual resolutions:

RESOLVED THAT:

1.      These resolutions are in place of an annual meeting of shareholders of the corporation.

2.      The financial statements of the corporation for the fiscal year ended [Month and day], prepared by [Accountants’ name], Chartered Accountants, under their comments dated [Date], are received.
